Terms of Service

1. Acceptance of these terms

These Terms of Service (“Terms”) govern your access to and use of TaxBook (the “Service”), operated by TaxBook, Inc. (“TaxBook,” “we,” or “us”). By creating an account or otherwise using the Service, you agree to be bound by these Terms.

2. Eligibility & accounts

You must be at least 18 years old and authorized to bind your organization to enter into these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. License to use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal professional use.

4. Acceptable use

  • Do not interfere with or disrupt the Service or its infrastructure.
  • Do not attempt to reverse engineer, scrape, or circumvent access controls.
  • Do not use the Service to violate any law or third-party right.
  • Do not upload malicious code or use the Service to send unsolicited communications.

5. Customer content & AI

You retain all rights to any content you submit to the Service (“Customer Content”). TaxBook uses a bring-your-own-AI architecture; prompts you send to AI features are forwarded to the AI provider you have configured, and TaxBook does not train models on your Customer Content.

6. Intellectual property

The Service, including its underlying software, data compilations, design, and brand assets, is owned by TaxBook and protected by intellectual property laws. Source legal materials (statutes, regulations, court opinions, agency guidance) are public-domain works of the U.S. government; our compilations, annotations, and cross-references are proprietary to TaxBook.

7. Not legal advice

TaxBook is a research tool, not a substitute for the advice of a licensed attorney or tax professional. Information presented by the Service, including AI-generated answers, is provided for informational purposes only and does not create an attorney-client relationship.

8. Fees & billing

Paid plans are billed in advance on the cadence shown on our Pricing page. Fees are non-refundable except as required by law or as expressly stated in your order form.

9. Termination

You may terminate your account at any time. We may suspend or terminate your access to the Service for breach of these Terms or where we are required to do so by law. On termination, your right to use the Service ends immediately.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TAXBOOK DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TAXBOOK’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO TAXBOOK IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Delaware.

13. Changes to these Terms

We’ll post material changes to these Terms on this page and update the “Last updated” date above. Continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
